What does it mean to incorporate a business?

As a corporation, your business can enter contracts, open bank accounts, and borrow money independently from you, the owner.

What are the benefits of incorporating versus being a sole proprietor?

Can I call my company whatever I want?

What’s the difference between a "named" and a "numbered" corporation?

A Named Corporation lets you choose a unique business name (e.g., “ABC Design Inc.”).

It allows you to start branding your business immediately but you must first obtain a NUANS name search report to make sure the proposed name isn't already in use.

A Numbered Corporation is assigned a number by the business registry (e.g., “1234567 Ontario Inc.”).

It is faster to register as they don't require a NUANS name search report.

Who can incorporate a business in Ontario?

Anyone can incorporate a business in Ontario - whether you’re a Canadian citizen, a permanent resident, or an international entrepreneur. However, you'll need to have a registered address in Ontario, which SkyLaunch can provide as part of our Complete Compliance Package.

Do I need to be a Canadian resident to incorporate in Ontario?

No. You do not need to be a Canadian resident to incorporate in Ontario. However, you will need an Ontario address (cannot be a P.O. box) for your company’s “registered office”. This is where government correspondence is sent and where your company’s records (e.g., minute book) are kept.

Can I be the sole director and shareholder of my corporation?

Yes. In Ontario, the same person can be the sole director, officer, and shareholder of a corporation.

This is very common for small businesses and professional corporations. As your business grows, you can add more shareholders, directors and officers, and a lawyer such as SkyLaw can help make sure it is done properly.

How many shareholders can I have for my company?

How long does it take to incorporate?

In most cases, you’ll receive your incorporation documents within 1–2 business days.

Numbered corporations are often processed the same day. Named corporations may take slightly longer due to the required NUANS name search report.

What information do I need to get started?

To start the incorporation process, you’ll need to provide:

  • Your legal name, contact information and date of birth (you must be at least 18 years old to incorporate)
  • Your proposed company name (unless you opt for a numbered company)
  • An Ontario address to act as your company's Registered Office (which SkyLaunch can provide if you don't have one or want to keep your personal address private)

What happens after I submit my incorporation application?

After you submit your application:

  1. We will process it through the Ontario Business Registry.
  2. Once approved, you’ll receive your Certificate and Articles of Incorporation and other key documents (e.g., company by-laws).
  3. We will prepare all the necessary documents to issue shares to you and to properly appoint you as your corporation's initial director and officer.
  4. We will file the "initial return" with the Ontario Business Registry to confirm your appointment as director and officer of your corporation.
  5. We will create your minute book (with all essential documents) and upload it to your document hub.

How much does it cost to incorporate a business in Ontario?

Post-incorporation & Compliance
What are my responsibilities after incorporating?

After incorporating, you must:

  • Maintain your corporation's minute book at its registered office
  • File annual returns to keep your company's information up-to-date with the Ontario Business Registry
  • Prepare annual tax returns and pay corporate taxes
  • Keep up-to-date company records

When do I need to file an annual return?

In Ontario, you must file an annual return every year within 6 months of your corporation's financial year end. This is separate from your corporation's tax return.

We’ll notify you when it’s due and can file it for you as part of our ongoing support service with the Complete Compliance Package.

Privacy & Addresses
Do I need to make my home address public?

Yes. If you use your home as the Registered Office address for your corporation, it becomes part of the public corporate record. If that is a concern, choose our Complete Compliance Package and use our address instead.

Can I use your address as my registered office?

Yes. We offer a Registered Office Address Service that allows you to use our address for official government and legal correspondence. We notify you and forward your mail securely. However, you should use a different address as your general business address (i.e., for customers and suppliers).

Is my personal information shared with the public or government?

If you choose our Complete Compliance Package, you can keep your personal address private. We will still need your residential address for the shareholder register (but that stays with your minute book and is not a public document).

Copies of all your documents (e.g., Certificate of Incorporation, Articles of Incorporation, By-Laws and Corporate Registers etc.) will be available digitally through SkyLaunch's customer portal.

The documents will remain accessible for 30 days with the Launch Package, and for the duration of your subscription with the Complete Compliance Package.
